These Terms of Service ("Terms") govern your access to and use of the Second Spring platform ("Service"), operated by Second Spring ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.
1. Service Description
Second Spring is an AI-powered strategy platform that provides:
AI strategy agents for business, product, marketing, and financial guidance
An execution engine that generates business documents and plans via AI-powered recipes
A Business Hub for storing and organizing business context (facts, goals, tasks, documents)
Integrations with external business tools (Google, Stripe, Instagram, Mailchimp, etc.)
A proactive communication layer for reminders and business nudges
The Service is intended for small business owners, entrepreneurs, and their teams.
2. Account Responsibilities
2.1 Account Creation
You must provide accurate and complete information when creating your account
You must be at least 18 years old to use the Service
One Outseta account represents one team/organization; multiple users within the same account share access to the same Business Hub
2.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials
You are responsible for all activity that occurs under your account
Notify us immediately at [support@secondspring.design] if you suspect unauthorized access
2.3 Account Accuracy
You are responsible for the accuracy of the business information you enter into the Business Hub
AI strategy advice is based on the information you provide — inaccurate inputs may result in less relevant outputs
3. Acceptable Use
You agree NOT to use the Service to:
Violate any applicable law or regulation
Infringe the intellectual property rights of others
Upload or transmit malicious code, viruses, or harmful content
Attempt to gain unauthorized access to other users' accounts or data
Reverse engineer, decompile, or attempt to extract the source code of the Service
Use the Service for competitive intelligence gathering about other specific businesses
Circumvent any usage limits, access controls, or security measures
Resell, redistribute, or sublicense access to the Service
We reserve the right to suspend or terminate accounts that violate these terms.
4. Credits and Billing
4.1 Credits System
The Service uses a credits system for AI recipe executions:
Credits are granted on subscription (monthly or annual grant)
Credits are consumed when you run AI recipes (e.g., 1 credit for a SWOT analysis, 2 credits for a revenue model)
Credits do not carry over between billing periods unless otherwise specified in your plan
Unused credits expire at the end of each billing period
4.2 Subscription Billing
Billing is managed by Outseta, our payment processor
Subscription fees are charged in advance, monthly or annually
Prices may change with 30 days notice; continued use constitutes acceptance of new prices
Refunds are at our discretion; we will evaluate requests on a case-by-case basis
4.3 Credit Refunds
If a recipe execution fails due to a platform error (not user error), credits are automatically refunded to your balance.
5. Intellectual Property
5.1 Your Data
You own your business data. All facts, goals, plans, and documents you enter or generate remain your property.
You grant us a limited license to process your data to provide the Service and improve platform recommendations (see Privacy Policy for details on anonymized Knowledge Graph use).
You can export your data at any time; you can request deletion of your data upon cancellation.
5.2 AI-Generated Content
You own the documents and outputs generated by AI recipes using your business context.
AI-generated content is provided as a starting point; you are responsible for reviewing, validating, and adapting it for your specific situation.
5.3 Platform and Aggregate Insights
We own the Second Spring platform, including code, design, and all platform intellectual property.
We own aggregate insights and patterns derived from the anonymized Knowledge Graph. These insights are built from anonymized, aggregated patterns across all businesses and do not represent any individual business's data.
The Second Spring brand, logo, and trademarks are our exclusive property.
5.4 Third-Party Content
Content generated by AI models (OpenAI GPT-4, etc.) is subject to the terms of those providers.
We do not claim that AI-generated content is free from third-party rights.
6. AI-Generated Content Disclaimer
IMPORTANT: The AI strategy agents and recipe outputs are provided for informational and planning purposes only.
AI recommendations do not constitute professional business, legal, financial, or tax advice
We make no warranties about the accuracy, completeness, or fitness for purpose of AI-generated content
Always review AI outputs critically and consult qualified professionals (accountants, lawyers, financial advisors) before making significant business decisions
Past patterns in our Knowledge Graph do not guarantee future results for your business
AI models can produce incorrect, biased, or outdated information; your judgment as the business owner is essential
7. Service Availability
We aim for 99.5% uptime but do not guarantee uninterrupted access
Scheduled maintenance will be communicated in advance when possible
We are not liable for losses caused by service interruptions, whether planned or unplanned
Third-party integrations (Google, Stripe, OpenAI, etc.) are subject to their own availability; we cannot guarantee their uptime
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Second Spring is not liable for indirect, incidental, special, consequential, or punitive damages
Our total liability to you for any claims arising from use of the Service is limited to the amount you paid us in the 12 months preceding the claim
We are not responsible for business decisions you make based on AI-generated content or platform recommendations
9. Indemnification
You agree to indemnify and hold harmless Second Spring and its officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from:
Your use of the Service in violation of these Terms
Your violation of any third-party rights
Business decisions you make based on platform outputs
10. Termination
10.1 By You
You may cancel your subscription at any time via the Outseta billing portal. Your access continues until the end of the paid billing period.
10.2 By Us
We may suspend or terminate your account if you:
Violate these Terms or our Acceptable Use policy
Fail to pay subscription fees after a grace period
Engage in fraudulent or abusive behavior
On termination, your data will be retained for 90 days before deletion, allowing you to export it.
11. Governing Law

12. Changes to Terms
