Second Spring Design, LLC (“Second Spring”, “we”, “us”, or “our”) operates an AI-powered software-as-a-service (SaaS) platform to help you design, test, and grow your business via our website, products, and services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms of Service (including the Privacy Policy below). If you do not agree, do not use the Services.

1. Acceptance of Terms

These Terms of Service govern your use of the Services. We may update these Terms from time to time. Material changes will be notified via email or in-app notice. Your continued use after changes constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent that you meet this requirement.

3. Accounts and Registration

To access certain features, you must create an account via Outseta. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

4. Beta Status and Use of Services

The Services are currently in beta phase and provided on an “as is” and “as available” basis. They may contain bugs, errors, or interruptions. We make no warranties about performance, reliability, or availability.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business purposes during the beta period, subject to payment of applicable subscription fees where required. You may not:

Reverse engineer, decompile, or modify the Services.

Use the Services for unlawful purposes or to violate third-party rights.

Overload or disrupt the Services.

Share access with unauthorized users.

We may terminate or suspend your access at any time, without notice or liability, especially during beta.

5. User Content and Feedback

You retain ownership of content you input (e.g., messages, ideas, plans, files) (“User Content”). By submitting User Content, you grant us a worldwide, royalty-free license to use, store, and process it as needed to provide the Services (including via third-party providers like OpenAI).

Feedback you provide (e.g., suggestions, bug reports) is non-confidential, and we may use it freely without compensation.

AI Outputs: Outputs generated by the Services are based on your inputs and third-party AI models. You are responsible for reviewing and verifying outputs. We do not guarantee accuracy, completeness, or non-infringement.

6. Intellectual Property

The Services, including all software, design, and orchestration, are owned by us or our licensors. No title transfers to you except the limited license above.

7. Third-Party Services and Integrations

The Services rely on third parties:

AI processing and storage: OpenAI

Authentication and billing: Outseta

Future integrations (e.g., via Model Context Protocol): Provider-hosted tools

Your use of third-party services is subject to their terms and policies. We are not responsible for third-party actions or availability.

When connecting integrations, you authorize limited data access as needed for tasks.

8. Payments and Subscriptions

Subscriptions are managed via Outseta. Payments are non-refundable except as required by law. We may change pricing with notice.

9. Termination

You may stop using the Services at any time. We may terminate access immediately for violations or at our discretion (especially in beta).

Upon termination, your license ends, and you must cease use.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

IN BETA, WE ESPECIALLY DISCLAIM ANY WARRANTY OF UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION. USE AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITY.

OUR TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID BY YOU IN THE PRIOR 12 MONTHS (OR $100 IF NO PAYMENTS).

12. Indemnification

You agree to indemnify us against claims arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

13. Governing Law and Disputes

These Terms are governed by the laws of Delaware, without regard to conflicts of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

14. Miscellaneous

These Terms constitute the entire agreement. If any provision is unenforceable, the rest remains valid. No waiver unless in writing.

Privacy Policy

This Privacy Policy explains how we collect, use, and share information when you use the Services. By using the Services, you agree to this Policy.

Second Spring is a product of Second Spring Design, LLC. We rely on trusted third-party providers:

AI infrastructure and conversation storage: OpenAI

Authentication, billing, and account management: Outseta

(Future) tool integrations: Official or provider-hosted Model Context Protocol (“MCP”) integrations

2. Information We Collect

2.1 Information You Provide Directly

Account information (name, email via Outseta)

Payment information (processed by Outseta)

Conversation content, business details, files uploaded

2.2 Information Collected Automatically

Usage data, device/browser info, logs

2.3 Information from Integrations

Data read/written via authorized MCP connections (minimum scope)

3. How Your Data Is Stored

Conversations: Stored by OpenAI

Accounts/billing: Stored by Outseta

Integrations: Managed by providers/OpenAI; we do not host tokens

4. How We Use Your Information

To provide/operate the Services, maintain accounts, improve the product, communicate, ensure safety/compliance. We do not sell your data.

5. How We Share Information

With providers (OpenAI, Outseta), connected tools (as authorized), or for legal/safety reasons. No selling.

6. Your Choices and Controls

Access/update via Outseta; disconnect integrations; request deletion/export via hello@secondspring.design (we'll route to providers).

7. Data Security

We rely on providers' security; use best practices for configurations.

8. Children’s Privacy

Not for children under 13.

9. International Data Transfers

Data may be processed in multiple jurisdictions via providers.

10. Changes to This Policy

We may update; continued use means acceptance.
